These terms form the agreement between you ("Client," "you") and Foxwell Advisory ("Foxwell Advisory," "we," "us") for US Market Entry services. They apply once you accept our written proposal or engagement letter following your consultation. The proposal and these terms together form our agreement.
1. Consultation
Every US Market Entry engagement begins with a consultation. The consultation is provided free of charge and on a no-obligation basis. Following the consultation, we will provide a written proposal confirming the services, fees, and timeline for your engagement.
2. Services included
Unless your proposal states otherwise, the US Market Entry package includes:
- Preparation and filing of formation documents for one limited liability company in one US state
- An operating agreement
- Preparation and submission of an EIN application
- Registered agent service for the initial period stated in your proposal, provided through our third-party registered agent partner
- A guided onboarding session
- Banking and payment platform readiness guidance
- A compliance calendar
- A Business Readiness Review
3. Services not included
Unless purchased separately and confirmed in writing, the package does not include:
- Legal, tax, accounting, or financial advice
- Opening of any bank or payment platform account
- Registration of the company in any state other than the state of formation
- Ongoing compliance filings, including annual state reports and federal tax filings
- Registered agent service after the initial period stated in your proposal
- A US business mailing address
- Any immigration, visa, or work authorization matters
4. Your responsibilities
You agree to provide accurate, complete, and truthful information and documents; respond to requests for information or signatures promptly; notify us of any change to the information you provided; seek independent legal and tax advice where needed; and meet all ongoing compliance obligations of your company after formation. We are not responsible for delays, rejections, penalties, or other consequences resulting from inaccurate or incomplete information, or from delays in your responses.
5. Authorizations
By accepting your proposal, you authorize Foxwell Advisory to prepare and file formation documents on your behalf, including acting as organizer where permitted by the state, and to apply for an EIN on behalf of your company, acting as Third Party Designee on IRS Form SS-4. You will be asked to review and sign the relevant forms before submission.
6. Fees and payment
- Service fee: as stated in your proposal, payable in full before your formation documents are filed, unless your proposal states otherwise
- State filing fee: charged at cost and confirmed before your filing is submitted
- Registered agent renewal: after the initial period, registered agent service renews at the rate stated in your proposal, unless you notify us in writing that you do not wish to renew
All fees are stated and payable in United States dollars (USD).
7. Refunds
- Before your formation documents are filed: you may cancel for a refund of your service fee, less a reasonable administrative fee to cover work already performed, as set out in your proposal.
- After your formation documents are filed: state filing fees and the service fee are non-refundable, as the work has been performed and fees paid to government authorities cannot be recovered.
8. Company name availability
Company names are subject to availability and state approval. If your preferred name is unavailable, we will use your alternative names in the order provided. If none are available, we will contact you before proceeding.
9. Timelines
Processing times are determined by state authorities and the Internal Revenue Service and are outside our control. Any timeframes we provide are estimates, not guarantees.
10. Registered agent service
Registered agent service is provided by our third-party registered agent partner. If registered agent service lapses, the registered agent may resign, which can affect your company's good standing with the state. You are responsible for ensuring continuous registered agent coverage after the initial period.
11. No guarantees
We do not guarantee approval of any bank account, payment platform, or third-party service; any particular tax treatment or outcome; or any immigration status or right to live or work in the United States.
12. Confidentiality and data protection
We handle your personal data and documents in accordance with our Privacy Policy. Identification documents are used only to deliver the services and meet legal and registered agent requirements.
We do not use artificial intelligence tools to process your personal data, identification documents, or company information for US Market Entry services. This information is handled directly by our team.
13. Limitation of liability
To the fullest extent permitted by law, our total liability arising from these services is limited to the service fee you paid. We are not liable for indirect or consequential losses, including penalties arising from missed compliance obligations after formation.
14. Governing law
These terms are governed by the laws of Jamaica, and any disputes are subject to the jurisdiction of the courts of Jamaica.
15. Entire agreement
Your proposal, these terms, our Privacy Policy, and our Disclosures together form the entire agreement between you and Foxwell Advisory for US Market Entry services. If your proposal conflicts with these terms, the proposal prevails.
